LofiCouch Terms of Service

1. Agreement and operator

LofiCouch is operated by Vicariyan Group LLC, a New Mexico limited liability company ("LofiCouch", "we", "us" or "our").

These Terms govern the LofiCouch website, web app, watch-party rooms and LofiCouch Streaming Sync browser extension, together called the "Service". By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Our Privacy Policy explains our information practices. Acceptance of these Terms does not replace separate consent where required for particular processing.

2. What LofiCouch provides

LofiCouch provides private watch-party tools with synchronized playback, voice chat and text chat. Rooms support up to four people, including the host.

Hosting a watch party and using the companion extension are free. Streaming subscriptions, internet access and other third-party charges are separate.

We coordinate supported playback and communication. We do not supply movies, shows, streaming subscriptions, provider accounts or rights to access content. Features and compatibility may differ by source, browser, device, region and release.

3. Eligibility and accounts

You must be at least 13 years old, meet any higher minimum age applicable to your use, and be legally permitted to use the Service. If you are in India, you must be at least 18 years old. Do not create an account or use the Service if you do not meet these requirements.

Hosts and participants must sign in to use a room. Provide accurate information and keep it up to date. Keep your credentials secure. Do not share, sell or transfer your account, impersonate another person or use an account without authorization.

You are responsible for your actions through the Service and safeguarding your account. We may restrict accounts containing materially false information or presenting a security or eligibility concern.

4. Service licence and ownership

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable permission to access the Service and install and use the official extension for their intended functions. This permission ends when your access is terminated under these Terms. The software is licensed, not sold.

Except for user content and third-party materials, all intellectual property rights in LofiCouch's proprietary software, browser extension, website, original interface designs, documentation and branding belong to Vicariyan Group LLC or its licensors. All rights not expressly granted are reserved.

Access to the Service grants only the limited permission described in these Terms. It does not transfer ownership or grant rights to copy, distribute, commercialize or otherwise exploit LofiCouch's protected materials without authorization. Do not remove proprietary notices or use our branding to imply affiliation or endorsement.

Except as applicable law or an applicable third-party licence permits, do not copy, resell, redistribute, reverse engineer, modify or create derivative works of the Service, bypass its restrictions, or use our protected code or materials to create another service without authorization.

Where a component is provided under a third-party or open-source licence, that licence governs that component to the extent of any conflict with these Terms.

5. Rooms and participant conduct

Share room codes and invitation links only with intended participants. Invitations may be forwarded. A private room does not change the access permissions of a linked video or file.

Hosts may manage participants, playback and settings where supported. Hosts are responsible for their use of those controls.

Participants can see or hear what you share and may capture it using their devices. Do not share credentials, confidential information or material you are not entitled to disclose. We do not guarantee another participant's identity, conduct or handling of information.

6. Content access and streaming providers

Each participant must have lawful access to the content they watch and comply with the provider's terms, subscription requirements, regional availability and device or simultaneous-stream limits.

A public link does not grant copyright permission. Only submit or share content you own, have permission to use, or are otherwise legally authorized to use in that way. LofiCouch does not provide additional streams, shared subscriptions or access to another person's provider account.

Supported subscription-service playback takes place on the provider's website using the companion desktop extension. YouTube and publicly shared, streamable Google Drive videos can play through the web app. Our servers may fetch, relay and temporarily buffer Google Drive video data to support playback.

Do not bypass paywalls, geographic restrictions, access controls, subscription limits or technical protection measures. Do not use the Service for unauthorized copying, redistribution, public broadcasting or public performance of content.

7. Independent third parties

Streaming platforms, browsers, extension stores, internet providers and other third parties operate independently. Their own terms and policies apply.

Names including YouTube, Google Drive, Netflix, Prime Video, JioHotstar and Crunchyroll belong to their respective owners. LofiCouch is not affiliated with, sponsored by or endorsed by those providers.

We do not control their content, accounts, subscriptions, pricing, restrictions or availability. Displaying a link or supporting playback does not endorse the linked material or guarantee its legality, safety or suitability. Provider changes may affect or end compatibility.

8. Your content and feedback

You retain your rights in messages, profile information, images, room names and other material you submit.

You authorize us and providers acting on our behalf to process, store, transmit and display that material only as needed to operate, secure, maintain and support the Service. This permission does not transfer ownership or authorize unrelated exploitation of your content. Retention and deletion are addressed in our Privacy Policy.

You must have the rights needed to submit your content. Do not submit material that infringes another person's rights or violates the law. Linking to content does not give us or participants rights you do not hold.

If you voluntarily submit product suggestions or feature requests, you permit us to use them to develop and improve LofiCouch without payment or attribution.

By submitting a testimonial or review to LofiCouch, or publicly posting one about LofiCouch after agreeing to these Terms, you grant Vicariyan Group LLC a non-exclusive, worldwide, royalty-free licence to reproduce and display that testimonial or review on LofiCouch's website, social media and marketing materials, with your first name only.

We may format or shorten it without materially changing its meaning. No separate approval or payment is required for uses within this licence, except where applicable law or the relevant platform's rules require otherwise.

You must have the rights needed to grant this permission. This licence does not cover private room messages or private support conversations.

9. Prohibited use

You must not:

• Harass, threaten, exploit or abuse anyone, or facilitate child exploitation.
• Share unlawful material or infringe intellectual property, privacy or other rights.
• Impersonate others, misrepresent your authority or falsely imply our endorsement.
• Unlawfully record, disclose or distribute another person's communications or information.
• Spam, phish, solicit credentials, distribute malicious software or conduct fraudulent schemes.
• Steal credentials, bypass security or attempt unauthorized access, including by falsifying or misrepresenting your age.
• Scrape or collect personal information without authorization.
• Use automation to overload the Service, manipulate its operation or evade restrictions.
• Disrupt rooms, interfere with infrastructure or circumvent enforcement.
• Misrepresent LofiCouch as a source of licensed content or authorized access to streaming services.

10. Privacy, analytics, cookies and communications

We process account and profile information, messages, voice-connection data, app-usage information and related technical data as described in our Privacy Policy.

We measure app usage to understand feature use, investigate failures and assess performance and reliability. Website analytics and first-party app measurement are separate. Our Privacy Policy explains their purposes and applicable choices.

Cookies and similar storage support authentication, preferences and analytics. Optional website analytics is subject to the cookie-consent controls presented to you. We do not sell your personal information.

By using our services, you consent to receive account, security, support, and other necessary service communications electronically. You may opt out of marketing communications by emailing hello@loficouch.com. Marketing withdrawal does not stop necessary service communications.

Do not submit government identification, financial account details, medical records or other highly sensitive information through rooms or ordinary support messages.

11. Support and copyright reports

We can assist with LofiCouch accounts, room access, invitations, extension setup and supported playback or communication issues within the Service.

We cannot manage another provider's account, reset its password, recover its content, issue its refunds, change its subscriptions or regional restrictions, or guarantee its compatibility with LofiCouch.

Support depends on available capacity. We do not guarantee a response time, resolution, continuous availability or compatibility fix. General troubleshooting guidance does not create an additional warranty or service-level commitment.

For support, safety concerns or suspected violations, email hello@loficouch.com. Do not send passwords, verification codes or private room credentials.

For copyright concerns involving material or activity on LofiCouch, contact hello@loficouch.com with enough information to identify the issue. We may remove or disable access to material within our control and restrict accounts responsible for infringement. Requests to remove content hosted by a third-party provider should also be directed to that provider.

12. Enforcement

We may restrict features, remove content from the Service, suspend or terminate accounts, or block access where reasonably necessary to enforce these Terms, protect the Service, investigate security risks or abuse, address eligibility violations, prevent disruption or comply with law.

We may act without advance notice where necessary, subject to applicable law. We do not guarantee detection of every violation or action on every report. We may withhold investigative details where disclosure would compromise security, an investigation or legal obligations.

Where permitted or required by law, we may preserve relevant records, respond to lawful requests and pursue available legal remedies. Handling of personal information remains subject to our Privacy Policy and applicable law.

13. Service changes, advertising and paid features

We reserve the right to update, modify, limit, suspend or discontinue any feature, integration or part of the Service at any time, subject to applicable law and any notice or other obligations that apply. We do not guarantee uninterrupted operation, perfect synchronization, permanent compatibility or preservation of content as an archive. Keep independent copies of important material.

Hosting a watch party and using the companion extension are currently free. We may introduce advertising, sponsorships, paid features, subscription plans or charges for access to some or all of the Service in the future. Current availability or pricing does not guarantee that a feature will remain available or free indefinitely.

Before you purchase a paid service, we will disclose its price, billing frequency, renewal, cancellation and other applicable terms and obtain your agreement and payment authorization. Acceptance of these Terms alone does not authorize charges or enroll you in a paid subscription.

We retain the right to display advertisements on our platform, and your use of our services constitutes consent to such advertising. Any future advertising and related data processing must comply with our Privacy Policy, applicable consent requirements, and platform rules. This reservation does not authorize the sale of personal information or the use of extension-derived information for personalized advertising or retargeting.

14. Disclaimers and limits of responsibility

To the fullest extent permitted by applicable law, the Service is provided "as is" and "as available", without express or implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that it will meet every requirement, operate without interruption or error, work with every device, browser, network, title or provider, or that every defect will be corrected.

To the fullest extent permitted by applicable law, Vicariyan Group LLC and its officers, members, employees and service providers will not be liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, data or goodwill arising from use of, or inability to use, the Service, including interruptions caused by independent providers or participants.

These exclusions apply to the extent permitted by law whether a claim is based on contract, tort or another legal theory, including where the possibility of such loss was known.

Nothing here excludes liability that cannot lawfully be excluded, excuses obligations that cannot lawfully be waived, or removes mandatory consumer rights.

15. Ending use and account deletion

You may stop using the Service and delete your account through your app profile. We may end or restrict access as described in these Terms. When access ends, permission to use the affected Service ends.

Account deletion does not remove copies independently retained by another participant or third party. Our Privacy Policy explains handling within our systems.

Provisions concerning ownership, lawful use, applicable disclaimers, limits of responsibility and matters that by their nature continue will survive termination.

16. Changes and general provisions

We may revise these Terms. The revised version will show its effective date. Material changes will be notified through the website or app where required, and additional agreement obtained where required. If you do not accept revised Terms, stop using the Service.

If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. Delay in enforcing a provision does not waive later enforcement.

These Terms and any additional terms expressly agreed for a feature form the agreement governing that use and replace prior discussions about the same subject. They do not override applicable third-party licences, mandatory rights or our privacy obligations.

17. Governing law and jurisdiction

These Terms are governed by the laws of India. Subject to applicable law, courts of competent jurisdiction in Nagpur, Maharashtra, India have non-exclusive jurisdiction over disputes arising from these Terms or the Service. Nothing in this clause limits mandatory consumer rights or any right to bring proceedings elsewhere where applicable law provides that right.
